Orders become binding when we provide written confirmation. All custom acoustic panel orders require a deposit, typically 50% of the total project cost, before manufacturing begins.

5.3 Manufacturing and Delivery

Manufacturing timelines are estimates based on current capacity and material availability. While we strive to meet all delivery dates, delays may occur due to factors beyond our control, including:

• Material supply chain disruptions
• Custom specification requirements
• Weather or transportation issues
• Force majeure events

5.4 Installation Services

When installation services are included:

• Site access must be provided during agreed-upon times
• The installation area must be prepared according to our specifications
• Any structural modifications required are the client's responsibility
• We will provide post-installation support and warranty coverage

6. Payment Terms

6.1 Payment Schedule

Standard payment terms are:

• 50% deposit upon order confirmation
• Remaining balance due upon completion/delivery
• Net 30 days for approved commercial accounts

6.2 Late Payments

Late payments may incur a service charge of 1.5% per month or the maximum rate permitted by law, whichever is lower.

6.3 Taxes

All prices are exclusive of applicable taxes, including HST/GST, which will be added to invoices where required.

7. Warranties and Guarantees

7.1 Product Warranty

We provide a 5-year warranty on the structural integrity of our acoustic panels under normal use conditions. This warranty covers:

• Manufacturing defects in materials and workmanship
• Structural failure under normal loading conditions
• Acoustic performance meeting specified ratings

7.2 Installation Warranty

Professional installations include a 2-year warranty covering:

• Proper mounting and securement
• Installation craftsmanship
• Compliance with installation specifications

7.3 Warranty Exclusions

Warranties do not cover:

• Normal wear and tear
• Damage from misuse, abuse, or modification
• Environmental damage beyond normal conditions
• Cosmetic issues that don't affect performance

8. Intellectual Property

Custom designs created for clients remain our intellectual property unless otherwise agreed in writing.

9. Limitation of Liability

To the maximum extent permitted by law, AutoSsPoll's liability for any claims arising from our services or products shall not exceed the total amount paid by the client for the specific project or service giving rise to the claim.

We shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, revenue, or business opportunities
• Delays in delivery or installation
• Third-party claims or damages

10. Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, or pandemics.

11. Cancellation and Returns

11.1 Client Cancellation

Clients may cancel orders with written notice. Cancellation terms:

• Before manufacturing: Deposit less 15% administrative fee
• During manufacturing: Client responsible for materials and labor costs incurred
• After completion: Full payment required unless products are defective

11.2 Custom Products

Due to their custom nature, acoustic panels cannot be returned unless they fail to meet agreed specifications or contain manufacturing defects.

12. Privacy and Data Protection

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to our privacy practices as described in the Privacy Policy.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services after changes constitutes acceptance of the modified Terms.

14. Governing Law and Jurisdiction
